Brametal is committed to ensuring that its operations and relationships are conducted based on ethics, legal compliance, and high standards of integrity.

To this end, the Brametal Integrity Program was created, endowed with independence and authority, with the objective of preventing financial, legal, and reputational risks, promoting the institutional strengthening of the company and the dissemination of ethical values and guidelines.

These guidelines cover all employees and suppliers who act on behalf of the group's companies in interactions with public officials and business partners, as well as involving senior management.

The program is structured around four pillars: guidelines, assessment, communication, and monitoring, as illustrated in the figure below:

The involvement and actions of senior management, combined with the collaboration of the business areas, reflect Brametal's leadership commitment to promoting an ethical, transparent, and corruption-free environment.

This is achieved by spreading an organizational culture based on integrity and supporting the guidelines and processes established by the Integrity Program.

Brametal's Ethics and Integrity guidelines are based on standards, policies, internal regulations, Codes of Ethical Conduct for employees and suppliers, as well as applicable laws, regulations, and analysis of the company's strategic planning.

Brametal conducts mapping of the areas and functions most vulnerable to risks of corruption, ethical deviations, and inappropriate conduct. In this same dimension, the due diligence process stands out. integrity due diligence integrity due diligence process, which seeks to identify potential risks associated with the company's reputation and brand in partnerships with suppliers, mergers and acquisitions (M&A) operations, and other business partners.

In addition, the Governance, Risk, and Compliance area plays an advisory role, conducting assessments and issuing opinions with recommendations on customers, suppliers, anti-corruption clauses, and the governance of internal ethics and compliance guidelines and regulations.

To facilitate understanding of the guidelines and promote awareness of the Integrity Program topics, Brametal uses multiple communication channels to disseminate regular pieces and campaigns. These initiatives seek to expand knowledge and stimulate reflection on integrity issues relevant to both society and the company.

This dimension includes tools designed to monitor and report on the level of compliance of Brametal's processes and activities with laws, regulations, and internal standards, as well as to assess the effectiveness of the Integrity Program's initiatives.

Brametal encourages its employees, suppliers, customers, and other stakeholders to safely and anonymously report questions, suggestions, or situations that do not comply with the Code of Conduct, laws, and internal regulations, including acts of corruption or violations of the Brazilian Anti-Corruption Law (Law No. 12,846/2013). To this end, the company provides the Confidential Channel, independently managed by the outsourced company Alliant, accessible 24 hours a day, every day of the year. All reports are assigned a case number, which allows the reporter to track the status of the report until it is closed or to communicate further with the investigation team, if necessary.

Any form of retaliation against whistleblowers or individuals who, in good faith, assist in the investigation of reported complaints is strictly prohibited.

The Integrity Program’s training sessions aim to reinforce the value of integrity and provide employees with guidance on the ethical guidelines that everyone must follow.

Every year, we develop a training plan based on assessments of fraud, corruption, and ethical violations reported through the Confidential Channel, prioritizing the most exposed business areas and processes. The content, target audience, and schedule are defined by the Governance, Risk, and Compliance area in collaboration with business area managers.

In addition to employees, suppliers and other business partners must also adhere to Brametal's ethical guidelines. To this end, we conduct specific training sessions for our most critical suppliers, with the aim of presenting the Integrity Program and promoting awareness of ethical issues relevant to suppliers and business partners.

Brametal's Conduct Committee is responsible for promoting, implementing, and enforcing the ethical principles established in the Code of Conduct, as well as managing suggestions, inquiries, and complaints submitted through the company's Confidential Channel. The committee is composed of the following members:

  • Head of Governance, Risk, and Compliance

The Conduct Committee is responsible for analyzing and investigating ethical records. The rules defining the responsibilities and actions of members, as well as the procedures, deadlines for handling complaints, and frequency of reports on the actions of the Integrity Program to the Executive Board and, when applicable, to the Board of Directors, are detailed in the Internal Regulations of the Conduct Committee.

Brazilian soccer club based in the city of Criciúma, in the state of Santa Catarina. It was founded on May 13, 1947, under the name of Comerciário Esporte Clube. It currently plays in Serie A of the Brazilian Championship.

Grassroots Professionals Project

With an area of 110,000 square meters, the Criciúma Esporte Clube Training Center has 6 official pitches, two blocks of dormitories for athletes, as well as a kitchen with a cafeteria, a gym with pilates, a recreation room, an auditorium, changing rooms and physiology, medical, physiotherapy and psychology departments.

150 children and teenagers, aged between 10 and 18, train every day in the pre-mirim, mirim, infantil, juvenil and júnior categories.

The Training Center is already considered one of the largest grassroots facilities in Brazilian soccer.

It provides free lessons for socially vulnerable children and teenagers on brass and woodwind instruments, percussion and keyboard, hiring music teaching services, general project coordination and cultural production services, accounting advisory services, fundraising services and communication advisory services for the project.

CRIAR Project - Cyberbulling at School

To provide children and teenagers with cultural presentations and lectures on the subject of cyberbullying in schools, to make 3,000 copies of the book "Lana", to enable access to information through musical, theatrical and literary events, where the books will be donated to students in the public school system.

Create "reading spaces" with a literary journey, through weekly workshops, in two socio-educational spaces outside school hours. Twice a week, in each unit, 90-minute workshops will be held with reading and writing, storytelling, in order to enrich the cultural experience and reading habits of 365 children.

To provide children and adolescents
